These Terms govern your use of naillegend.com and any B2B services provided by NailLegend (“we”, “us”). By using the site or engaging us for OEM, private-label, or wholesale services, you accept these Terms.

1. Who We Serve

NailLegend is a B2B manufacturer. Our services are available exclusively to businesses — brand owners, distributors, wholesalers, retailers, and resellers — not to individual consumers. You must be of legal age and authorized to act on behalf of your business to engage with us.

2. Quotes, Samples, and Orders

  • Quotes: all prices, lead times, and specifications shared in a quote are valid for 30 days unless otherwise stated. Quotes are not binding offers until confirmed via a Proforma Invoice.
  • Samples: we provide samples to qualified buyers. Sample costs are typically borne by the buyer; on bulk-order confirmation, sample fees are deducted from the order value.
  • MOQ: minimum order quantity is specified per product. Standard OEM MOQ is 500 pieces per SKU; custom formulation may require a higher MOQ.
  • Lead Time: 25–35 days for OEM customization, 15 days for stock items, from confirmed PI and deposit. Timelines are estimates and may be affected by raw-material availability, customs, and shipping.
  • Order confirmation: orders are confirmed only after we issue and you accept a Proforma Invoice (PI) and pay the required deposit (typically 30%).

3. Payment

  • Standard terms: 30% deposit on PI, 70% before shipment, unless otherwise agreed in writing
  • Accepted methods: T/T bank transfer, PayPal, and Alibaba Trade Assurance (additional methods on request)
  • All prices are quoted in USD unless otherwise stated. Buyer bears any bank or currency conversion fees.

4. Shipping, Delivery, and Customs

  • We ship worldwide via DHL, FedEx, UPS, air freight, or sea freight at the buyer’s preference
  • Incoterms (EXW / FOB / CIF / DDP) are specified in the PI
  • Import duties, customs clearance, and local taxes at the destination are the buyer’s responsibility unless DDP is agreed
  • Title and risk of loss transfer per the agreed Incoterm

5. Quality, Inspection, and Returns

  • We guarantee products match the approved sample and the agreed specifications in the PI
  • Buyer must inspect goods within 14 days of receipt and notify us in writing of any quality issue with photos and batch information
  • Confirmed manufacturing defects are remedied at our discretion via replacement, partial refund, or credit toward a future order
  • We do not accept returns for buyer’s-choice issues (formulation, color, packaging) once the buyer has approved the pre-production sample

6. Intellectual Property

  • You retain ownership of brand names, logos, label designs, and custom formulations you provide
  • By providing artwork or formulations, you warrant you have the legal right to use them and indemnify us against third-party IP claims
  • We retain ownership of our own product catalog, base formulations, and website content. Reproduction without written permission is prohibited.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of business (formulations, pricing, customer lists, business plans). On request, we are happy to sign a mutual NDA before sample work begins.

8. Compliance and Regulatory

Our products are manufactured under standard GMP-grade procedures for spa and body-care goods. Final compliance with destination-market regulations (FDA registration, EU CPNP, etc.) is the buyer’s responsibility. We provide standard supporting documents (COA, MSDS, ingredient list) on request.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from an order shall not exceed the invoice value of that order. We are not liable for indirect, consequential, or lost-profit damages.

10. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong SAR. Disputes shall first be addressed by good-faith negotiation. Unresolved disputes shall be referred to arbitration in Hong Kong under HKIAC rules, in English.

11. Changes

We may update these Terms. The “Last updated” date at the top reflects the most recent revision. Material changes will be communicated to active customers in writing.
